So can the bylaws be amended while the sponsor has shares or not?
It is better stated in the Certificate of Incorporation that (so long as there are any unsold shares) any transactions relating to the By Laws requires 100% of the issued and outstanding SHARES. That means 320,000 shares which would include the Sponsor, Holders of Unsold Shares, Investors, and Resident shareholders.
We actually need clarification of the investors who are classified as Holders of Unsold Shares.

In the event there are no unsold shares then it would require two-thirds of the issued and outstanding shares. That means 213,334 shares whether they are investor or resident shareholders.
These restrictions were violated when the Board chose to ignore the By Laws and repealed Article 1 Section 1 – cancelling the May 2022 Annual Meeting and Board Elections. The co-op lawyer stated at that time that she “did not agree” with the By Laws stipulation that prevented the Board from taking that action.

NO! Do not let the Board change the By Laws.
All the Board has to do is create an AMENDMENT to the By Laws for vacancies to pass to the person with the next highest votes.
Think about it. Congress does not change the US Constitution – They pass AMENDMENTS.
The By Laws are our protection against a Board of Directors dictatorship
Do not believe anything they say. AMENDMENTS are common on every federal – state- and city law – and AMENDMENTS also apply to By Laws

How do you know flu from a covid ? There is lot of both around. I am home to not get it and go out only for needed things. To many people forget it wen news not talkng about it. A question was asked of the CooperatorNews, the main source for information about Coops and Condos. The question was regarding a board president going around and collecting their own proxy votes to get reelected, just as our President did in this past election. The answer is that it is perfectly legal and that any opposing candidates can do the same. It’s too late for this election, but the next time candidates must go around with their proxies the same way or there will never be any changes in board membership.

At the end of the day this struggle is about power.
ANSWER – the only struggle is finding any TRUTH in all of the LIES.
So if you are given some power, what will you do with it?

I don’t think that Emma would be successful suing this site for using the name Park City unless she can prove that Park City, Utah took its name from us. Or Park City Kansas. Or the Park City Mall in Pennsylvania. Or etc., etc., etc. Maybe Emma Thompson and Emma Stone should sue our Emma for using their name.

I really like Ron. He should be part of the board. He proves his points with lots of support and seems very educated, unlike the current board members who are uneducated and cant even type or speak grammatically. I wish he won.

I’m not here to defend or criticize any one individual. I do have questions about our present Board. Why do they sit silently at meetings and defer to our lawyer? Why did they tear down their opponents’ campaign flyers? Why wasn’t there a candidates night like in years when there was opposition (except during Covid)? Why don’t we receive monthly newsletters as we did in the past to update us? Why aren’t there building meetings?
Are the present Board members doing a good job? Maybe, but we need to hear from them and not through a lawyer or an occasional newsletter. When will we hear from themselves so we can judge for ourselves?

Hi I am a tenant shareholder of park city. I just want to say the new board is not any different then the old board. They are doing their schemeful tactics just like prior management did but in different ways. It’s very sad how each are throwing allegations on one and other and are very alike. Chandra got away with all his stuff because he was controlling everything even the books. Now the new management I’m surprised they are allowing Zarina to get away with everything. I’m just shocked with Akam. They need to put more controls into place.
