Shareholders are ultimately to blame.
The Certificate of Incorporation overrules the By Laws. A copy can be read in DOCUMENTS at this website.
Regarding an Annual Meeting Quorum, go to the Certificate of Incorporation’s page 3 Section (viii) stating –
“75% of shares are required to constitute a Quorum for the transaction of any business relating to:
(c) undertaking any capital or major improvement or addition, unless required by law (including without limitation)
(d) a reserve for contingencies,repairs, improvements, other than a 12 month reserve for contingencies not exceeding 5% of the budgeted operating expenses.”
IF YOU – DO NOT – SUBMIT A PROXY, YOU RESTRICT THEIR SPENDING OF OUR MONEY.
The corruption is unbelievable! The Board members are ultimately to blame. Starting with the Board President!!! They have a fiduciary duty to the shareholders. They are either sleeping or in on the take.
David, real name Navid got the job because his girlfriend Zarina (now his wife) and Zarina’s business partner Rose Markov used nepotism and influence with AKAM to get him hired. Conveniently Rose Markov is president of our co-op board with her other IMO crooked members.
Rose sneaks around the buildings every July convincing weak minded shareholders to sign election proxies making her president as well as the current other IMO crooks on the board- but she wont let them DATE it because she waits for the day of the election to date and submit them,
WE LONG-TIME SHAREHOLDERS HAVE HAD IT WITH THEIR FRAUD AND ARE WITHHOLDING OUR PROXIES TO STOP THEM FROM SPENDING MORE OF OUR MONEY ON (PROFITABLE FOR THEM) NEW BUSINESS.
if you were fooled into signing Rose’s proxy go to the September meeting and withdraw it.

Since his real name is Navid Ahadian and he used to be a jeweler before becoming the manager – I think yo can easily say there was forgery on his resume!

IF ITS IMPORTANT TO DAVID – HE PUTS NOTICES ON EVERY FLOOR TO BE SEEN AS SOON AS THEY COME OFF THE ELEVATOR (LIKE THE TRASH CHUTE SHUT DOWN) AND THEN SENDS EMAILS TO THE SHAREHOLDERS CONCERNING THE TRASH CHUTE.
BUT IF ITS IMPORTANT TO THE SHAREHOLDERS HE PUTS ONE SMALL NOTICE ON THE LARGE BULLETIN BOARD THAT CAN ONLY BE SEEN “IF” YOU LOOK AT THE BULLETIN BOARD WHEN EXITING THE LOBBY ELEVATOR (SPECIFICALLY THE DEADLINE TO SUBMIT YOUR NAME FOR BOARD CANDIDACY IN SEPTEMBER) AND THAT IS EASILY UNNOTICED. MY NEIGHBORS ALL SAY THE THE DEADLINE NOTICE WAS NOT EVEN POSTED UNTIL THE DEADLINE DATE,
ENOUGH IS ENOUGH. IF YOU REFUSE TO VOTE IN SEPTEMBER THEY CANNOT GET A QUORUM, WITHOUT A QUORUM THEY CANNOT PROCEED TO ACT ON NEW BUSINESS UNTIL A NEW ELECTION DATE IS SET.
BY ALL MEANS ATTEND THE ANNUAL MEETING BUT HANDICAP DAVID AND THE BOARD BY NOT VOTING AT ALL IN SEPTEMBER!
